Course Name: Entrepreneurial Law

Course Outline

TThis course will highlight the critical legal and business issues entrepreneurs face as they build and launch a new venture. In this course, students will explore real world scenarios, and address the legal and business issues that entrepreneurs face, from the moment they conceive of the "million-dollar idea" to all of the important junctures along the path to success. This course addresses the legal aspects of entrepreneurship, and is appropriate both for entrepreneurs and lawyers who hope to represent entrepreneurs. Entrepreneurs face many challenges as they pursue a new business idea. With the right legal tools, they can take steps that provide significant legal protections and avoid future liability. Among other subjects, the course will cover American law on choice of entity (corporation, limited liability company, partnership, sole proprietorship), selection of a company name and trademark, protecting intellectual property of the business with patent, trade secret, trademark and copyright law, structuring agreements among owners, venture capital and other equity and debt financing arrangements, risk management, and the relationship between attorneys and entrepreneurs. In addition to discussing applicable legal rules, the course will focus on practical steps entrepreneurs and their lawyers can take to build and protect a new venture. The goal of the course will be for students to have a better understanding of practical ways they can protect a new venture and spot potential issues from a business-legal perspective.

Students please note that all ‘Value’ courses must be done via Calwest Tubeclasses. However for the Core building block and Electives courses students will have four alternatives choices for completing the course.

  1. undertaking the course via Tubeclasses (if available) ($ 800.00) ;
  2. undertaking (free) MOOC courses and having the assessments suitably externally proctored and then applying to Calwest for credit towards their degree program ($ 25 per course);
  3. undertaking similar courses elsewhere (including MOOC Courses) and having them assesses for credit by Calwest professors via a Challenge Exam ($ 250 per course);
  4. OR

  5. (4) applying for Prior Learning Credit for a course done in the past from a recognized institution ($ 25 per course).

If you wish to undertake the Calwest Tubeclass for this course, the lecture topic PowerPoint’s that relate to the text book will be provided upon payment of the course fee ($ 250). The link to the recommended MOOC provider will also be provided, and can be used as a supplementary vehicle for those undertaking the course. Students however have the choice of undertaking a MOOC course without enrolling in a Tubeclass, but need to have their assessments suitably proctored. Some Calwest elective courses do not have a Tubeclass, and in such cases students need to undertake the course via a MOOC offering, or at another accredited university.
